The NASDAQ OMX Group and IntercontinentalExchange said today that they are withdrawing their acquisition off for NYSE Euronext.

NASDAQ OMX and ICE said discussions with the Antitrust Division of the US Department of Justice made it clear that they would not receive regulatory approval for the takeover, despite the remedies the companies suggested.

Therefore, the companies will not commence an exchange offer for outstanding shares of NYSE Euronext (nyse: NYX - news - people ) stock.

It now appears as though the NYSE Euronext will move forward with their plans to merge with Deutsche Boerse.
